Technical Due Diligence for a Large Residential Portfolio
As part of a proposed acquisition of a large residential portfolio, a Technical Due Diligence (TDD) was carried out for a housing association. The objective of this assignment was to provide an integrated, independent, and well-founded insight into the technical condition of the portfolio, including maintenance status, risks, and improvement potential. This insight formed a key input for informed decision-making within the acquisition process.
Background
In the acquisition of existing real estate portfolios, information about the actual technical condition of buildings and installations is often incomplete or fragmented. In this project, there was a clear need to reduce uncertainties related to maintenance liabilities, safety risks, energy performance, and future investment requirements. In addition, there was a desire to independently validate existing multi-year maintenance plans (MYMPs) and energy performance data.
Approach and Methodology
The study was conducted based on documentation provided by the client and the seller, supplemented by on-site visual inspections. During these inspections, the main building components and building-related installations were assessed, insofar as they were accessible. In addition, a representative sample of approximately 10% of the houses were inspected to gain insight into the internal condition of the housing stock.
The assessment was non-destructive in nature. No intrusive investigations, openings, or dismantling works were carried out, nor were new condition assessments or detailed technical recalculations performed. Instead, the work focused on validating and verifying existing data, including multi-year maintenance plans, with attention to consistency of condition ratings, maintenance measures, planning, and cost estimates. These were also assessed against market-based benchmarks and the plausibility of cost assumptions.
On the energy performance side, the assessment was aligned with the principles of NTA 8800. The analysis focused on available energy label data and underlying registration files, with additional attention to the most representative dwelling types. In the context of future sustainability improvements, potential thermal bridge effects and their implications were also considered where relevant.
For safety and environmental risks, available documentation was reviewed regarding, among others, asbestos, legionella, fire safety, roof safety, soil contamination, drainage systems, and potential mining-related damage. Where information was limited or incomplete, uncertainties were explicitly identified and translated into recommendations for potential follow-up investigations.
The structural assessment consisted of a high-level analysis of foundation types, construction periods, and available reports, complemented by a quick scan of potential rooftop extension (vertical expansion) opportunities at complex level. Existing structural reports were also reviewed for completeness and traceability, with key findings validated by a structural engineer. No new soil investigations, structural calculations, or planning-law analyses were carried out.
Finally, a document review was performed based on available floor plans and NEN 2580 measurement statements, focusing on consistency and plausibility of surface areas and related data. No re-measurements or legally binding area validations were performed.
Outcome and Value for the Client
The Technical Due Diligence resulted in a clear and comprehensive overview of the technical condition of the portfolio, including key risks, uncertainties, and future investment requirements. By validating existing information against professional and market-based benchmarks, a reliable foundation for decision-making was established.
The client gained insight not only into the current maintenance and quality status of the portfolio, but also into future financial obligations and sustainability opportunities. In addition, explicit risk areas and information gaps were identified, along with practical recommendations for further specialist investigations where required.
This approach enabled the client to proceed through the acquisition process with greater certainty, transparency, and control over technical and financial risks.
